About Rosanne Matzat
Rosanne began her legal career in 1985 as a Hahn & Hessen associate and has been a partner in the Bankruptcy Practice Group since 1993. To a large degree, the depth of her experience in insolvency related matters mirrors the growth in diversity of the Firm's practice during these years. Description of Practice: Rosanne's practice has focused specifically on the representation of financial institutions, creditors' committees and trustees in Chapter 11, SIPA and out- of-court proceedings in a wide variety of industries, including securities, oil and gas, coal, manufacturing concerns, textiles, recreational vehicle parks, pharmaceuticals and a range of manufacturing concerns. Representative Matters: Rosanne has been integral to the Firm's representation of the interests of various financial market participants and brokerage houses in such high profile proceedings as: In re Enron; In re Color Tile Inc.; In re Southern Pacific Funding Corporation; In re Drexel Burnham Lambert Group Inc.; and In re Integra Realty Resources. Rosanne has played an integral role in the evolution of bankruptcy securities industry "safe harbor" protections, including definitional aspects of repurchase agreement treatment (In re Bevill Bresler & Schulman), the scope of "settlement payments" (In re Kaiser Steel), the avoidability of mandatory dividends on preferred stock (In re Color Tile), and ISDA Master Agreement SWAP and forward contact termination provisions (In re Enron Corp). Her familiarity with securities industry and market functioning has been integral to both her work in the subprime mortgage arena as well as numerous representations of trustees appointed under the Securities Investor Protection Act for the liquidation of brokerage houses and satisfaction of SIPA customer claims (In re M. Rimson & Co. Inc; In re G.F.B. Securities Inc.; In re Cambridge Capital; In re Weatherly Securities, Inc). As such, she has full familiarity with all SIPA procedures and manual provisions, claim resolution issues, fidelity bond claim issues and clearing broker liability issues. Rosanne also has an active practice in representing financial institutions as indentured trustees of public debt issues (e.g. In re Imperial Home Decor, In re Just for Feet) and collateralized mortgage obligations (e.g. In re K-Mart Corp.; In re Finova Group; In re Atlantic Gulf). Publications/Speaking Engagements: Rosanne has served as faculty for the Commercial Finance Associations' annual Workouts and Bankruptcy Workshop and lectures frequently on topics including subprime mortgage issues, the 2005 Bankruptcy Code Amendments, Revised Article 9 of the Uniform Commercial Code, bankruptcy issues relating to letters of credit and abandoned property law. Her publications include articles relating to the sale of trade claims in Business Credit and the Equipment Leasing Newsletter and Committee Strategic Plan Issues in the New York Law Journal and the American Bankruptcy Institute's Cracking the Code.. While in law school, Rosanne served as Managing Editor of the Fordham International Law Journal. Professional Associations: Rosanne has been active in the American Bankruptcy Institute, serving as Co-Chair of the Unsecured Trade Creditor Strategies Committee from 1994 through 1997. She is a member of the Turnaround Management Association, the International Women's Insolvency and Restructuring Confederation, the New York State Bar Association, International Section, and the New Jersey Bar Association. She is admitted to practice in New York and New Jersey and before the United States Supreme Court, the Courts of Appeals for the Second, Third and Tenth Circuits, the Southern, Eastern and Northern Districts of New York and the District of New Jersey. Community Work/Organizations: Rosanne is a member of the Board of Trustees of The Caring Community, a community outreach group serving senior citizens, and has been active in connection with the Rett Syndrome Research Foundation and Best Buddies. She is a member of the Board of Trustees of her alma mater, Manhattan College, where she serves on the Academic Affairs and Admissions Committee, as well as being a member of the Business School's Financial Advisory Board and an active participant in the Jasper's Student Mentoring Program. Outside of the Office: Rosanne and her husband Greg Matzat, a naval architect and marine engineer, live in TriBeCa. They enjoy travel, golf and, sailing. They are members of the New York Yacht Club, the Manhattan Sailing Club and the Shore Acres Yacht Club.
