Jerry Nagin is a partner in the firm's transactional groups. Mr. Nagin considers himself one of the last of the Mohicans? in that his practice covers wide-ranging areas. His primary practice areas are entertainment, corporate and real estate. In the entertainment arena, Mr. Nagin represents production companies, authors, writers, directors, producers, company executives, and insurance companies. He has developed a significant practice in advising major and independent media production companies concerning the content of motion picture, television and other media productions focusing on copyright and trademark matters, and on issues relating to defamation and privacy. Mr. Nagin also represents creators, authors, writers, directors, producers, company executives and production companies in all phases of media activities such as deals to develop and produce mini-series, MOWs, reality programming and theatrical films, and publishing arrangements and agreements for engaging writers, directors, producers, executives, and agencies. Mr. Nagin has represented various insurance companies in connection with underwriting errors and omissions producer's policies for the motion picture and television industries. He advises about litigation matters relating to claims and potential claims covered by errors and omissions policies, review applications and title reports, and has been involved in drafting applications and policies. In the corporate arena, Mr. Nagin's practice runs the gamut from representing diverse interests in the formation and operations of non-public partnerships, corporations and other business organizations to handling the acquisition and disposition of businesses and assets. It also includes negotiating, interpreting, and applying commercial contracts and business arrangements in numerous settings. Mr. Nagin's real estate practice ranges from acquisition, development, leasing, financing and disposition of real property. His work has involved architect and construction agreements, financing and joint venture arrangements both for studios and for investors in shopping centers and commercial properties throughout the United States. His overall approach to all the matters is not just negotiating the best terms for his clients, but also making sure his clients understand the pluses, minuses and risks of any particular transaction so they can avoid the kind of omissions and ambiguities which even between well-intentioned parties might lead to litigation.
