David H. Smith leads the business organizations & governance practice at DGC Law. He represents business clients in general business practice, business formation and governance, mergers, acquisitions, and in litigation. His clients primarily consist of oil and gas service companies and operators. His clients also include businesses in the health care industry, hospitality and entertainment industry, and federally chartered and private banks. David assists his transactional clients with most legal aspects of their businesses. This includes formation and corporate governance; drafting and negotiating supply, employment, master service, and non-competition contracts; and litigation with competitors, customers, suppliers, former employees, agents, and insurance companies. He fosters ongoing relationships with his clients and is readily available to help them resolve a range of issues on an ongoing basis. Over the past eight years, David has represented clients in a significant number of acquisitions and sale transactions. Further, he has represented clients in private stock offerings, asset sales, stock sales, ISDA and NAESB transactions, and complex re-organizations and mergers. Clients routinely entrust him with handling negotiations of all kinds, including those with lenders and investors, from traditional banking institutions to international funds. Although David routinely engages in transactions involving substantial consideration, he also provides a variety of services to smaller start-ups and mid-sized businesses. David represents clients in Texas state courts and all federal courts throughout Texas, as well as state appellate courts and the Fifth Circuit Court of Appeals. He has successfully represented his litigation clients in a variety of lawsuits. The suits include breach of contract matters, non-competition cases, intellectual property infringement actions, and multiple suits against insurance companies. David comes from a family of long-time West Texas natives. He began his legal career with Thompson & Knight in Dallas. He returned to West Texas in 1999 to join DGC Law and continue to build his broad-based practice. David is very active in the Midland community. He is a member of the advisory board of the Institute for Energy Law and serves on the board of United Way of Midland. David also is a member of the JPFO and the National Rifle Association.
