Andrew C. Gold concentrates his practice in bankruptcy, out of court restructuring and bankruptcy litigation. Andrew has practiced bankruptcy and debtor and creditor rights law for over 25 years. Andrew has represented secured and unsecured creditors, official committees, trustees, debtors and purchaser of distressed assets. Andrew has also represented both borrowers and lenders in out of court workouts and restructurings with a concentration in real estate matters. Bankruptcy and Restructuring Matters: Winstar Communications Trustee - Bankruptcy: Representation of the Trustee for Winstar Communications in an adversarial proceeding asserting claims of insider/voidable preference, equitable subordination and breach of contract, against Lucent Technologies. After winning at the bankruptcy court level and an initial appeal to the US District Court, we successfully argued to the US Third Circuit Court of Appeals in a case now valued at about $340 million. The Third Circuit panel, in upholding the District Court, found, among other things, that Lucent was an insider of Winstar, meaning that a $188 million payment by Winstar to Lucent, more than three months before Winstar declared bankruptcy, must be disgorged to the Winstar bankruptcy estate. In so ruling, the court also upheld the Trustee's arguments regarding earmarking, new value, core versus non-core jurisdiction and right to jury trial. This judgment is the only significant asset remaining in the estate and will allow the Winstar bankruptcy trustee to make payments to certain of Winstar's creditors. Fred Leighton - Jeweler to the Stars: Debtors' counsel for Fred Leighton LLC, famous "Jeweler to the Stars," and related companies in their Chapter 11 bankruptcy cases. Fred Leighton's collection is widely recognized as the world's most prestigious collection of rare and historic jewels. Ultra Diamonds: Representing Ultra Diamonds Inc., a 200 store diamond and jewelry retailer in its pre-packaged Chapter 11 case. Lehman Brothers Holdings, Inc.: Representation of joint venture partners in restructuring of underlying mortgages and mezzanine debt aggregating $130 million and encumbering 26 apartment complexes throughout the United States. Vanderveer Estates Holdings, Inc. -Yield Maintenance: Represented mortgage lender in Chapter 11 of a 59 building apartment complex. Obtained first published decision in New York which required a borrower to pay the lender yield maintenance in a Chapter 11 case. 283 B.R. 122 (Bankr. E.D.N.Y. 2002) Levitz Home Furnishings: Representation of a group of landlords in connection with claims arising from rejection and assignment of leases. Prorhythm, Inc.: Representation of private equity fund in DIP financing and recapitalization of medical devise maker. Real Estate Bankruptcies: Representation of lenders and special services in the Chapter 11 proceeding of major office buildings, including 127 John Street, New York, New York, 1500 Broadway, New York, New York, 485 Fifth Avenue, New York, New York and 80 Broad Street, New York, New York.
